This agreement is made on 14 September 2026 between Your name or business and Client or brand name for the project described below. It sets out what will be made, when it will be delivered, what it costs and how it may be used. The Artist's invoices are issued against these terms.

1. The parties

1.1This agreement is between Your name or business (the "Artist") and Client or brand name (the "Client").

1.2Notices and approvals may be sent to [your email] and [their email]. Written approval by email counts as written approval under this agreement.

2. Scope of work and deliverables

2.1The Artist will carry out the following work: [describe the work in your own words]

2.2Deliverables: [list what you will hand over]

2.3Anything not listed above is outside the scope of this agreement. Additional work โ€” extra edits, extra assets, extra shoot days, a new concept โ€” is agreed in writing first and billed separately. This keeps the project from growing without the fee growing with it.

3. Timeline

3.1Work begins on 14 September 2026 and first delivery is due by [delivery date], provided the Client supplies everything the Artist needs โ€” briefs, products, access, approvals โ€” in good time.

3.2Client feedback is due within 5 working days of delivery. If the Client's input is delayed, delivery dates move by the same number of days.

4. Revisions and approval

4.1Two rounds of revisions are included. Further rounds are billed at the day rate.

4.2A revision means adjustments to the agreed deliverables. A change of concept, direction or product is new work.

5. Fee and payment

5.1The total fee for the work is [total fee].

5.2A deposit of 50% is payable before work begins, and is non-refundable once the Artist has started. The remaining 50% is payable on delivery.

5.3The Artist will issue an invoice for each amount due. Invoices are payable within 14 days of the invoice date. Late payments may attract interest at 5% per month on the outstanding balance, and the Artist may pause work until payment is received.

5.4Agreed expenses โ€” props, models, travel, studio hire, paid licences โ€” are billed in addition to the fee and approved in writing before they are incurred.

6. Usage rights and licence

6.1The Artist owns the copyright in the work and grants Client or brand name a non-exclusive, non-transferable licence to use it as set out below.

6.2Permitted use: Client's own social channels (Instagram, TikTok) and website.

6.3Territory: Worldwide. Licence period: 12 months from first publication.

6.4Any use outside this โ€” a different channel, a longer period, paid media, out-of-home, or a third party such as a retailer or reseller โ€” needs a separate written agreement and an additional fee. Renewal is available on the same terms if agreed in writing before the licence period ends.

6.5Client or brand name may crop or trim the work to fit a platform's format, but may not materially alter it, add another brand to it, or use it in a way that suggests the Artist endorses an unrelated product.

6.6The Artist may continue to use the work in their own portfolio, showreel, social channels and case studies.

6.7Where the format allows, Client or brand name will credit the Artist as the creator, and will tag the Artist on social posts.

7. Cancellation and kill fee

7.1Either party may end this agreement by giving 7 days' written notice.

7.2If the Client cancels after work has begun, the deposit is retained and a kill fee of 50% of the total fee is payable, less any amount already paid. Work completed beyond that point is billed in full.

7.3If the Client cancels a confirmed shoot date with less than 48 hours' notice, the day is billed in full, because that time can no longer be resold.

7.4If the Artist cannot deliver for reasons within their control, any deposit for undelivered work is refunded.

8. Confidentiality

8.1Each party will keep the other's non-public information confidential โ€” unreleased products, launch dates, briefs, rates and budgets โ€” and use it only for this project. The Artist may show the finished work in their portfolio once it is published, or earlier with written permission.

9. Independent contractor

9.1The Artist is an independent contractor, not an employee of Client or brand name. The Artist decides how and when the work is carried out, uses their own equipment, is responsible for their own taxes and insurance, and may work for other clients.

10. Warranties and liability

10.1The Artist confirms the work is their own and does not knowingly infringe anyone else's rights. Where the Client supplies material โ€” logos, music, product imagery, licensed tracks โ€” the Client confirms it has the rights to use it, and is responsible for that material.

10.2Neither party is liable for indirect or consequential loss. Each party's total liability under this agreement is limited to the total fee paid or payable, except where the law does not allow that limit.

11. General

11.1This agreement is governed by the laws of England & Wales, and the courts of England & Wales have jurisdiction over any dispute. The parties will try to resolve any disagreement between themselves first.

11.2This is the whole agreement between Your name or business and Client or brand name for this work, and replaces any earlier discussion. Changes must be agreed in writing by both parties โ€” an email confirming the change is enough. If any part is unenforceable, the rest still applies. It may be signed in counterparts, including electronically.
